Mitteilung zur Swift GV vom 12.06.2025

Swift und die SASFS danken ihren Mitgliedern für die abgegebenen Stimmen. Wichtige Ziele konnten erreicht werden.

Anlässlich der Swift-Generalversammlung vom 12. Juni wurde allen Anträgen und insbesondere den neuen Statuten, basierend auf dem neuen Belgischen Gesetz, mit grosser Mehrheit zugestimmt sowie das geforderte Quorum von 75% erreicht.

Dieses Ziel erreichen zu können, wäre ohne Sie als NMG und Swift-Shareholders, das permanente Engagement unserer Swift Board Directors Giacinto Provenzano und Laura Bayley, sowie nicht zuletzt durch die Unterstützung von Roger Inderbitzin, Head Swift Alps Region CH, AT und LI, nicht möglich gewesen. Vielen Dank deshalb seitens des SASFS-Vorstandes an Sie für Ihre wichtige Stimmabgabe!

Und wie Graeme Munro und Mark Gem treffend schreiben (siehe unten "Message from Swift"): Die Reise ist noch nicht zu Ende – sie fängt erst an. Nämlich damit, die durch die neuen By-Laws ermöglichte Neu-Organisation bei Swift umzusetzen. Wir als schweizerisch-liechtensteinische Community werden dabei ebenfalls unseren Beitrag leisten dürfen.

Swift and the SASFS would like to thank their members for their votes. Important goals have been achieved.

At the Swift General Meeting on 12 June, all proposals and in particular the new By-Laws, based on the new Belgian law, were approved by a large majority and the required quorum of 75% was achieved.

Achieving this goal would not have been possible without you as NMG and Swift shareholders, the ongoing commitment of our Swift Board Directors Giacinto Provenzano and Laura Bayley, and not least the support of Roger Inderbitzin, Head Swift Alps Region CH, AT, LI. Many thanks from the SASFS Board to you for your important vote!

And as Graeme Munro and Mark Gem rightly write (see below "Message from Swift"): The journey is not over yet - it is just beginning. Namely, implementing the reorganization at Swift made possible by the new By-Laws. As the Swiss-Liechtenstein community, we will also be invited to make our contribution.

Message from Swift

Dear NMG Chairs,

We would like to personally express our thanks to you as NMG Chair, and to your local Swift community for your engagement during yesterday’s AGM and on our governance evolution more broadly.

The By-law amendments enacting the new governance were overwhelmingly approved with an unprecedented quorum of 86.59% of all global shareholders. This important milestone and mandate from shareholders enables Swift not only to comply with our new legal requirements but to move forward with a model that will strengthen the cooperative for the future. 

This is a great achievement, but by no means the end of the journey, and we will ask you to continue to support our governance evolution plans in your local community.

In the coming months we will share an update of the Governance Charter with further details on how the new governance framework will operate in practice. This will be finalised by the end of the year. The Board has been continuing to move this work forward, and community feedback continues to be important to us to test our thinking and ensure we are designing the model for maximum effectiveness. As a reminder, the Shareholder Hub will remain the go-to source for the latest updates and developments, and of course we look forward to catching up in person at Sibos.

With regards to the transition period ahead, following Graeme’s re-appointment as Chair in June, he is committed to continuing this role during the transition to provide continuity of leadership. The Board has confirmed its agreement subject to due process when the new Supervisory Board is established. More broadly, we expect to begin recruiting for Swift Supervisory Board directors in the Q3-Q4 timeframe, most likely starting first with the new cohort of independent directors. We will ensure information is shared with you on how the process will operate and opportunities for you to engage.  All role profiles will be made public to ensure transparency, and we will certainly count on your active engagement as we recruit strong candidates from our community.

So there remains much to look forward to as we shape the future of the cooperative together. Thank you again for your continued support of Swift, and we look forward to catching up with you again soon.
